Skans Labs Partner Program Terms — version 2026-09-06c

These terms govern participation in the Skans Labs partner (affiliate) program (the "Program") operated by

La Costa Services, LLC, doing business as Skans Labs ("Skans Labs", "we"). By applying you agree to them

on behalf of yourself and any company you represent ("you"). Participation is at our sole discretion and may

be declined, paused or ended at any time, for any reason or none.

1. Codes and projects. You choose a partner code and may register projects under it. A "Referred Project" is a purchase made through the Skans portal whose Stripe checkout carried your code (typed by the buyer, or pre-filled from your link within 90 days of the click). Commission attaches to that purchase and its own renewals only, as recorded by our systems. Later purchases by the same customer without your code are not Referred Projects; we may, at our sole discretion, credit them as goodwill, and doing so once creates no obligation to do so again. Purchases by you, your affiliates or employees, purchases made with your own funds, and purchases we later determine were misrepresented, induced by an incentive we did not approve, or otherwise not genuine are not Referred Projects.
2. Commission. We pay commission only on amounts actually collected by card from a Referred Project for self-serve products (editions, expansion blocks, MSP console, SI kit), net of taxes, refunds, chargebacks and credits, and excluding support incidents, professional services, hardware, and any Enterprise or negotiated sale. We may also deduct payment-processing and platform fees. The rate is set per partner and per project, is shown in your dashboard, is confidential, and may be changed by us prospectively at any time. Our records are conclusive as to what was collected and what accrued.
3. Duration and limits. Commission accrues for 12 months from the Referred Project's first collected payment while the project is in good standing, then stops; a project under review earns nothing until we clear it. It is capped at the per-project, per-month and program limits shown in your dashboard; amounts above a limit do not accrue and are not deferred. We may end the attribution of any Referred Project at any time; commission already released to you is unaffected.
4. Hold, clawback and set-off. Accruals are held for 45 days. A refund, credit, chargeback, dispute, voided invoice or non-payment reverses the related accrual in whole or in part, including after payout, and any resulting negative balance is set off against future accruals. We may withhold, delay or reverse any amount while we investigate suspected fraud, self-referral, breach of these terms, or a disputed payment, and we may set off any amount you owe us against any amount we owe you.
5. Payout. Balances of $500 or more that have cleared the hold are paid monthly, after our review and approval, by ACH or another method we agree in writing; smaller balances roll forward. Before any payment you must provide a valid IRS Form W-9 (or Form W-8BEN if you are outside the United States) and any other information we reasonably request. You are solely responsible for all taxes on amounts paid to you. Balances unclaimed 12 months after your participation ends may be forfeited to the extent permitted by law. Payment is made only to the party that accepted these terms and only to a bank account in that party's name.
6. Conduct. You will not: refer yourself, your affiliates or employees; misrepresent Skans Labs, its products, pricing, security properties or compliance status; make any claim about security outcomes or certification; bid on our trademarks or confusingly similar terms in paid search; use our marks other than as we provide them for the Program; send unsolicited bulk email or messages; offer buyers rebates, discounts or other incentives without our prior written approval; or use cookies, scripts or other mechanisms to attribute purchases you did not genuinely refer. You will comply with all applicable law, including the FTC Endorsement Guides (disclose your material connection to Skans Labs where you promote us), CAN-SPAM, TCPA and applicable privacy law. Any breach ends your participation and forfeits any unpaid balance.
7. Relationship and authority. You are an independent contractor. Nothing here creates an agency, partnership, joint venture, franchise or employment relationship. You have no authority to bind Skans Labs, to make representations or warranties on its behalf, to accept payment for it, or to modify its terms of sale. You receive a limited, revocable, non-exclusive, non-transferable licence to use the Program materials we provide, solely to promote Skans Labs while you participate. We may run any other marketing or partner arrangement we choose; nothing here is exclusive.
8. Data and confidentiality. We show you the status of your Referred Projects and the amounts that accrued, were held, reversed or paid, and nothing about the buyer beyond what you entered yourself; you will not attempt to identify, profile or contact end users through the Program. Your rate, your statements and any non-public information about Skans Labs are confidential. We process your personal data as described in our Privacy Policy.
9. Records and audit. We may audit your promotional activity and any Referred Project. You will keep accurate records of your Program activity for two years and provide them on request. We may correct any accrual or payout we determine to be erroneous.
10. Changes and termination. We may change these terms by posting a new version in your dashboard; continued participation is acceptance, and no payout is made until the current version is accepted. Either party may end participation at any time. We may end or suspend the Program with 30 days' notice; released balances above the minimum are paid on the normal schedule, everything else lapses. Sections 2 through 12 survive.
11. Indemnity, disclaimer and liability. You will defend, indemnify and hold harmless Skans Labs and its members, officers and agents from any claim, loss or expense arising from your promotional activity, your breach of these terms or of applicable law. THE PROGRAM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SKANS LABS' TOTAL LIABILITY UNDER OR IN CONNECTION WITH THE PROGRAM IS LIMITED TO COMMISSION PROPERLY ACCRUED, RELEASED AND UNPAID, AND IN NO EVENT INCLUDES LOST PROFITS OR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
12. General. These terms are governed by the laws of the State of California without regard to its conflict-of-laws rules; the state and federal courts located in Riverside County, California have exclusive jurisdiction, and you consent to that venue. You may not assign these terms or any right to payment; we may. If any provision is unenforceable the rest stands. These terms are the entire agreement about the Program and supersede any prior discussion. Notices to us go to hello@skanslabs.com.
